    Title: 國內發行增資股問題之研究

    Abstract: 一、研究目的：本文旨在研究國內增資股之發行情況及其問題，重點包括：(1)公司增資理論，(2)我國發行增資股之辦法與歷年實際之成果，(3)未來可行之建議。
    二、研究方法：(1)參閱財務及證券管理之各種書籍，構成理論基礎，(2)研讀公司法等法令，並向證券界前輩請教，以了解增資股有關實務，(3)收集各種期刊及報告中之統計數字從事整理分析。
    三、本文內容
    1.說明公司擴充之起因，擴充資金之籌措，增資之意義，並與舉債籌資方式作一比較，此外，介紹普通股與特別股。
    2.區別有償增資與無償增資之配股方式，分析股東優先認股權之性質。認股程序、價值計算、對股價影響與認購價格之訂定等，以及介紹美國投資銀行之承銷業務，最後舉英國為例，以了解其增資股發行情況與方式。
    3.探討早期我國舊公司法及證券商管理辦法有關公司增資發行新股之規定。
    4.研究現階段依公司法與證券交易法等法令，我國公司應如何申請現金增資，如何公告募股，如何發行新股，如何申請上市，並說明盈餘或公積轉增資之程序。
    5.探求歷年我國發行增資股之情況，並對成果加以分析。
    6.說明我國增資股之承銷辦法與歷年股票承銷概況，從而對國內增資股承銷辦法作一檢討。
    7.根據以上各種研究內容作成結論，並提出建議。
