Title:	台灣發行公司債條款設計動機之研究

Abstract:	本研究探討台灣發行公司債條款設計之動機，藉此提供公司債發行人設計債券條款之依據，研究期間為83年-86年第1季，根據大華證券債券部資料庫得共到普通公司債246支、轉換公司債20支，普通公司債條款的變化領域計有票面利率、計息方式、還本方式、保證方式、債券期限、發行價格、債券形式、買回權或賣回權、償債基金之設置等九大類，轉換公司債條款的變化計有債券期限、轉換權之設計、交換標的、可重新設定轉換價格、轉換價格之訂定、賣回權與贖回權、反稀釋條款之設計等等。　　個案實務訪談後發現：台灣公司債條款設計之動機主要是創造Finnerty (1988)所提出之移轉風險、增進流動性、降低代理成本、降低交易成本、節稅等價值，尤其是在移轉風險、增進流動性及降低交易成本方面的頻率最高，由此顯示出移轉風險與增進流動性台灣發行債券時優先考慮之因素。　　其次，本研究亦發現到台灣公司債市場受到公債市場的影響很大，例如在發行價格、債券期限、債券形式、付息方式等條款，幾乎在民國81年剛開始時都比照公債條款的設計方式，由此可知發行公司在設計債券條款時亦需考量到公債條款設計的因素。　　最後，在轉換權之設計、贖回權之設計、償債基金之設置以及債券期限之設定條款方面，本研究並未發現有傳統學派如代理成本觀點、避險觀點、資訊不對稱觀點、稅負觀點之理論在支持。
